Terms of Service

These Terms of Service ("Terms") govern your access to and use of Q360, a multi-tenant Quality Management System ("Service") provided by Q360 ("we", "us"). By creating an account or using the Service you agree to these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

1. Accounts

You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorised use.

2. Subscriptions and billing

Paid plans are billed in advance on a recurring basis through Stripe. Fees are non-refundable except where required by law. We may change pricing on renewal with at least 30 days' notice.

3. Customer content

You retain all rights in the data, documents and other content you upload to the Service ("Customer Content"). You grant us a limited licence to host, process and display Customer Content solely to provide the Service. You are responsible for ensuring you have the rights to upload and use any Customer Content.

4. Acceptable use

You agree not to: (a) reverse engineer or attempt to gain unauthorised access to the Service; (b) upload malicious code; (c) use the Service to store or transmit unlawful, infringing or harmful content; (d) interfere with or disrupt the Service or other users; (e) abuse our APIs in ways that exceed published rate limits or impact stability.

5. Service availability

We aim to provide a reliable Service but do not warrant uninterrupted availability. Scheduled maintenance will be communicated where practical. Service-level commitments, where offered, are documented in your order form.

6. Confidentiality

Each party will protect the other's confidential information with the same care it uses for its own confidential information of similar importance, and at least a reasonable standard of care.

7. Intellectual property

The Service, including its software, design, branding and documentation, is owned by Q360 and protected by intellectual property laws. Except for the rights expressly granted in these Terms, no rights are transferred to you.

8. Disclaimer of warranties

The Service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law. Q360 is a management tool and does not itself certify compliance with any standard.

9. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue or data. Each party's total liability under these Terms will not exceed the fees paid by you in the 12 months preceding the claim.

10. Termination

Either party may terminate for material breach if not cured within 30 days of written notice. On termination, your right to use the Service ends and we will delete Customer Content as described in our Privacy Policy.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-product notice at least 30 days before they take effect. Your continued use after the effective date constitutes acceptance.
